- 1. Your Agreement
- 1.1 This website rewardbuy.shop and/or the Rewardbuy mini app (together, 'Rewardbuy Platform') is owned and operated by COD Payment Limited, a Hong Kong incorporated company. Please read these terms of use (“this Terms of Use”) carefully before using the Rewardbuy Platform and the services offered by COD Payment Limited, its affiliated companies (together, “COD”) or the third-party merchant (the “Merchants”) through the Rewardbuy Platform (the “Services”). “You” and “your” when used in this Terms of Use includes (1) any person who accesses the Rewardbuy Platform and (2) persons for whom you make a purchase of the Services.
- 2. Change of Terms of Use
- 2.1 Rewardbuy's Modifications
- 2.1.1 COD reserves the right, at its sole discretion, to change or modify any part of this Terms of Use at any time without prior notice. You should visit this page periodically to review the current Terms of Use to which you are bound. If COD changes or modifies this Terms of Use, COD will post the changes to or modifications of this Terms of Use on this page and will indicate at the bottom of this page the date on which this Terms of Use was last revised.
- 2.1.2 Your continued use of the Rewardbuy Platform after any such changes or modifications constitutes your acceptance of the revised Terms of Use. If you do not agree to abide by the revised Terms of Use, do not use or access or continue to use or access the Rewardbuy Platform and/or the Services. It is your responsibility to regularly check the Rewardbuy Platform to ascertain if there are any changes to this Terms of Use and to review such changes.
- 2.1.3 In addition, when using the Services, you shall be subject to any additional terms applicable to such Services that may be posted on the page relating to such Services from time to time and the privacy policy (the “Privacy Policy”) adopted by COD from time to time. All such terms are hereby expressly incorporated by reference in this Terms of Use.
- 3. Access and Use of the Services
- 3.1 Ownership of Content
- 3.1.1 This Rewardbuy Platform, the domain name (www.rewardbuy.shop), subdomains, features, contents and application services (including without limitation to any mobile application services) offered periodically by COD in connection therewith are owned and operated by COD.
- 3.2 Provision and Accessibility of Services
- 3.2.1 Subject to this Terms of Use, COD may either offer to provide the Services by itself or on behalf of the Merchants, as described in further detail on the Rewardbuy Platform. The Services that have been selected by you on the Rewardbuy Platform are solely for your own use, and not for the use or benefit of any third party. The term "Services" includes but is not limited to the use of the Rewardbuy Platform, any Services offered by COD by itself or on behalf of the Merchants on the Rewardbuy Platform. COD may change, suspend or discontinue any Services at any time, including the availability of any feature, database or content. COD may also impose limits or conditions on certain Services or restrict your access to any part or all of the Services without notice or liability.
- 3.2.2 COD does not guarantee that the Services will always be available or uninterrupted. COD will not be liable to you if for any reason the Services are unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to have access to the Services. You are also responsible for ensuring that all persons who access the Services through Internet connection are aware of this Terms of Use and other applicable terms and conditions for the Services, and that they comply with them.
- 3.2.3 If you link to the Rewardbuy Platform, COD may revoke your rights to so link at any time, at COD’s sole discretion. COD reserves the right to require prior written consent before linking to the Rewardbuy Platform.
- 4. Rewardbuy Platform and Content
- 4.1 Use of the Content
- 4.1.1 All materials displayed or performed on the Rewardbuy Platform including but not limited to text, data, graphics, articles, photographs, images, illustrations, video, audio and other materials (“Content”) are protected by copyright and/or other intellectual property rights. This Rewardbuy Platform and the Content are intended solely for your personal and non-commercial use of the Services and may only be used in accordance with Terms of Use.
- 4.1.2 If COD agrees to grant you access to the Rewardbuy Platform and/or the Content, such access shall be non-exclusive, non-transferable and limited license to access the Rewardbuy Platform in accordance with this Terms and Use. COD may, at its absolute discretion and at any time, without prior notice to you, amend or remove or alter the presentation, substance or functionality of any part or all of the Content from the Rewardbuy Platform.
- 4.1.3 You shall abide by all copyright notices, trademark rules, information, and restrictions contained in the Rewardbuy Platform and the Content accessed through the Rewardbuy Platform, and shall not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purposes whatsoever the Rewardbuy Platform or the Content or third party submissions or other proprietary rights not owned by you without the express prior written consent of the respective owners, or in any way that violates any third party rights.
- 4.2 COD’s Liability for the Rewardbuy Platform and Content
- 4.2.1 COD cannot guarantee the identity of any other users with whom you may interact with in the course of using the Rewardbuy Platform. COD cannot guarantee the authenticity and accuracy of any content, materials or information which other users or the Merchants may provide. All Content accessed by you using the Rewardbuy Platform is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom.
- 4.2.2 Under no circumstances will COD be liable in any way for any Content, including but not limited to any errors or omissions in any Content, or any loss or damage of any kind incurred in connection with the use of or exposure to any Content posted, emailed, accessed, transmitted, or otherwise made available via the Rewardbuy Platform.
- 4.2.3 Rewardbuy Platform provide sorting and filter settings for you to adapt the search results to your preferences using criteria such as name of product, name of the shop or other criteria. We continually optimize the Rewardbuy Platform to provide you the best experience and may test different default sort order algorithms from time to time.
- 5. Intellectual Property Rights
- 5.1 Intellectual Property
- 5.1.1 All intellectual property rights subsisting in respect of the Rewardbuy Platform belong to COD or have been licensed to COD for use on the Rewardbuy Platform. This Rewardbuy Platform, the Services and the Content are protected by copyright and other intellectual property rights as collective works and/or compilations, pursuant to applicable copyright laws, international conventions, and other intellectual property laws. You undertake that: (a) You shall not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any part of the Rewardbuy Platform and the Content, software, materials, or the Services in whole or in part; (b) You shall only download or copy the Content (and other items displayed on the Rewardbuy Platform or related to the Services) for personal and non-commercial use only, provided that you maintain all copyright and other notices contained in such Content; and (c) You shall not store any significant portion of any Content in any form. Copying or storing of any Content other than personal and non-commercial use is expressly prohibited without prior written permission from COD or from the copyright holder identified in such Contents copyright notice.
- 6. Member Registration and Login
- 1 In order for you to use the Services, you must sign up for a member account on the Rewardbuy Platform, to log in and become our member ("Rewardbuy Member Account"). When registering a Rewardbuy Member Account, we may ask you to provide your mobile number set a password, and after the registration, we may ask you to fill out membership information. You must confirm that all the information you submit to Rewardbuy's Platform is true, accurate, and complete, and you will update it from time to time to maintain the latest information. If you provide false information, we reserve the right to remove your Rewardbuy Member Account without prior notice to you.
- 2 Your Rewardbuy Member Account is personal to you, and you shall not share your account information with, or allow access to your account by, any third party. You will be responsible for all activities generated under your Rewardbuy Member Account, and if you find any security concern with your Rewardbuy Member Account, please notify us immediately. You are responsible for maintaining the confidentiality of your password, and if you have any reason to believe that your Rewardbuy Member Account has been compromised or your Rewardbuy Member Account has been accessed by a third party, please notify us immediately. You will be solely responsible for the losses or damages suffered by COD and any other persons due to any illegal use of your account.
- 6.3 You agree that we reserve the right to reject your registration as a Rewardbuy member. You also agree that we may, at our sole discretion, remove your Rewardbuy Member Account at any time without prior notice to you.
- 7. Your Undertakings
- 7.1 You shall use the Services and the Rewardbuy Platform fully and only in accordance with these Terms of Use; you shall be solely responsible for all your behaviors while using the Services and the Rewardbuy Platform.
- 7.2 You shall promise the following:
- 7.2.1 The specific Service selected and purchased by you is for your personal use and shall not be used for any commercial purposes.
- 7.2.2 You agree not to copy, reproduce, distribute, publish, display, perform, transmit or broadcast any part of the Services without our prior written authorization, including, by way of example and not limitation, by doing or engaging in any of the following without our prior express written consent: (i) altering, defacing, mutilating or otherwise bypassing any approved software through which the Services are made available; and (ii) using any trademarks, service marks, design marks, photographs or other content belonging to COD or obtained from the Services.
- 7.2.3 You agree not to bypass, damage or otherwise interfere with any security or other features of the Services designed to control the manner in which the Services are used, harvest or mine the service content from the Services, or otherwise access or use the Services in a manner inconsistent with individual usage (including placing abnormal or excessive pre-orders, or cancelling a certain service order after placing it).
- 7.2.4 You agree not to undertake, cause, permit, or authorize the translation, reverse engineering, disassembling, or hacking of any aspect of the Services, including any service content available on or through the Services, or attempt to do any of the foregoing or otherwise attempt to use or access any portion of our service other than as intended by COD, except and solely to the extent permitted by these Terms of Use or other regulations.
- 7.2.5 You agree not to use, display, mirror, frame, or utilize framing techniques to disclose the Services, including any service content available on or through the Services, or any portion thereof, through any other application or website unless and solely to the extent we make available the means for embedding any part of the Services or service content.
- 7.2.6 You agree not to access, tamper with, or use non-public areas of the Services, COD's (and our hosting company's) computer systems and infrastructure, or the technical delivery systems of COD's providers.
- 7.2.7 You agree not to provide any false personal information, create a false identify, or impersonate another person or entity in any way. Also, you agree not to use any unauthorized ATM card, credit card, or other e-Payment tools to place any order.
- 7.2.8 You agree not to solicit or attempt to solicit personal information from other users.
- 7.2.9 You agree not to use the Services to communicate or facilitate any commercial advertisement or solicitation, except as expressly permitted in these Terms of Use.
- 7.2.10 You agree not to engage in any fraud, breach of the information security of the Rewardbuy Platform, damage to the interests of COD, abuse of COD’s promotion or discount, crack the passwords of other users, transfer or illegally save the data or engage in any other illegal activities.
- 7.3 If you violated any matter set out above, we may, based on our discretion, remove your Rewardbuy Member Account and cancel the order that violates any matter set out above at any time, without giving you any prior notice, and we may request your compensation. Furthermore, COD may also impose a cancellation administration fee or service fee on products which are originally eligible for free cancellation or within the free cancellation period, which will be charged proportionally based on the order or transaction amount.
- 8. Order Confirmation and Refund Policy
- 8.1 You can select and purchase goods, eCoupon and/or other related Services provided by Rewardbuy Platform or the Merchants through the Rewardbuy Platform. You agree to receive notification of successful orders via SMS, website or mobile applications, and you acknowledge and agree that the time it takes to reply the result of your orders as indicated on the Rewardbuy Platform is for reference only.
- 8.2 COD reserves the right to change or adjust the prices and fees of the goods, eCoupon and related services provided by COD or the Merchants at any time. These changes may be announced via SMS, the website or mobile applications. If you use the Services after the notice of such changes, it means you agree and accept the changed prices and fees.
- 8.3 You agree that COD may, at our sole discretion, refuse or cancel any order that may violate these Terms of Use.
- 8.4 You agree that you will pay your orders in accordance with the payment methods we accept; you acknowledge and agree that we are not obligated to process or execute your orders until you complete the payment in accordance with the payment process instructed by us. Unless otherwise provided in these Terms of Use, the payment for orders made by you is non-refundable.
- 8.5 In the case that the Service you selected and purchased is provided by a Merchants instead of COD, such Merchants will accept or reject your order on its own and be responsible for providing all related services. If you have any questions about the content of the service provided by the Merchants, you may first ask the Merchants to obtain the most direct information; alternatively, you can also contact COD, and we will try to contact the Merchants to find a solution.
- 8.6 Use of eCoupon
- 8.6.1 If you select and purchase eCoupon through the Rewardbuy Platform, after the order is successful, you will receive an order confirmation notification in “My Account” and see the eCoupon that you have purchased. In order to use your eCoupon, you must redeem it on the relevant mobile application.
- 8.6.2 You acknowledge and agree that if your eCoupon has transfer out to other, COD or the Merchant has no obligation to reissue the eCoupon. In addition, if you attempt to redeem an eCoupon illegally, for example, if you do not meet the legal age for the use of an eCoupon recognizing a certain content of service, COD or the Merchants may refuse to accept your redemption of the eCoupon, and no refund will be granted.
- 9. Limitation of Liability
- 9.1 You understand that the Rewardbuy Platform Content may be provided by the Merchants and agree that we do not provide any representation or warranty regarding the accuracy of the Rewardbuy Platform Content. You agree that you will not ask COD to be responsible for any Rewardbuy Platform Content provided by the Merchants in the future.
- 9.2 To the fullest extent permitted by law, you agree that COD and our directors, senior managers, officers, employees and agents of such personnel are not responsible for any of your direct, indirect, special, incidental, punitive, exemplary or derivative damages arising out of their non-compliance of these Terms of Use and their use of the Rewardbuy Platform or other acts of negligence.
- 9.3 To the fullest extent permitted by law, you agree that if you are not satisfied with the Services, your sole remedy is to stop using the Services. In any event, if we have any liability to you, the maximum amount of compensation is the total amount you paid to us within the 6 months prior to your initial claim.
- 10. Indemnification
- 10.1 You shall indemnify and hold harmless COD and our directors, senior managers, officers, employees and agents of such personnel from all losses or damages arising out of any third party’s claim for non-compliance of these Terms of Use or the infringement of any intellectual property or any right of others due to your access to the Rewardbuy Platform or your use of the Services, or those who use your Rewardbuy Member Account. If any of COD and our directors, senior managers, officers, employees and agents of such personnel suffers any losses or damages, you shall indemnify them, including but not limited to litigation fees, attorney fees, settlement fees and other losses.
- 10.2 With respect to a claim filed by a third party mentioned above, COD may ask you to defend against any claim or take legal action, and to conduct any settlement negotiations. However, without our prior written consent, you may not take any legal action which may be adverse to our rights.
- 11. Termination
- 11.1 These Terms of Use will apply to you and COD until COD terminates these Terms of Use. In the event that you violate any provision of these Terms of Use or COD deems necessary at our sole discretion, we may terminate or suspend your use of the Services, and your access to the Rewardbuy Platform or your Rewardbuy Member Account, without any prior notice to you.
- 11.2 If these Terms of Use shall terminate in accordance with Section 11.1, you agree that, to the fullest extent permitted by law, we bear no obligation and liability to you, and may cancel any confirmed order prior to the termination without any refund payment to you.
- 11.3 You acknowledge and agree that any provision of these Terms of Use shall, by its nature, survive termination, including but not limited to the Limitation of Liability.
- 12. Privacy Policy
- 12.1 For COD’s policy relating to its use of of your personal data, please review COD’s current Privacy Policy, which is hereby incorporated by reference to this Terms of Use. Your acceptance of this Terms of Use constitutes your acceptance and agreement to be bound by our Privacy Policy.
- 13. Governing Law
- 13.1 This Terms of Use shall be governed by the laws of Hong Kong Special Administrative Region of the Peoples Republic of China. You agree to submit to the non-exclusive jurisdiction of the Hong Kong court.
- 14. Miscellaneous
- 14.1 If any provision of these Terms of Use is held to be invalid, illegal or unenforceable, the validity, legality or enforceability of the remaining provisions shall remain in full force and effect.
- 14.2 We may assign these Terms of Use or any right and obligation hereunder, and may delegate any obligation hereunder, to any third party. Without our prior written consent, you may not directly or indirectly assign these Terms of Use or any right and obligation hereunder to any third party.
- 14.3 These Terms of Use are written in English. Any translation of these Terms of Use is solely for reference. If there is any discrepancy between any two language versions, the English version shall always prevail.

Membership data is your personal information including identification, contact number, address, account number and password. You can choose whether to update the membership data or not. If you do not choose to update your basic data, we will not be able to automatically insert your order by the system when you place orders. However, we recommend that you update your password regularly to keep your account safe. - 3.1.2 Order

4. Why Do We Collect Personal Information/How Do We Use Personal Information
- 4.1 Membership management
When you register as a member of Rewardbuy, we will create a membership profile for you so that we can manage all membership data. You can do the following in the “Account Settings”: - 4.1.1 Update basic data to help you automatically insert the required information when placing orders.

- 4.2 Order management (fulfillment/termination)
- 4.2.1 After you place an order, we will collect the personal information of the customer/recipient/contact person depending on the products you purchase in order for us to process and fulfill your order, such as:

If you are a member of Rewardbuy or you have ordered any products from us, participated in our activities, inquired about product information (as a potential customer), we will use your contact information to recommend the latest itineraries, discount information, other newsletters or product information you may be interested in, or deliver advertisement to you on third-party platforms. To the extent required by applicable data protection laws, we will not use personal data for direct marketing purposes unless we have obtained your consent. - 4.5 Exercise of rights/fulfillment of statutory obligations

- 6.1 COD uses the cloud space of a trusted cloud storage service provider to store your personal information, and according to your order requirements, we may transfer your data to the following COD affiliates located in other countries and regions.
